The undersigned, being the sole incorporator of meatcuttersclub.org INC., incorporated in the
State of Georgia, hereby takes the following action:
Adoption of Bylaws
RESOLVED, that the form of the Bylaws is hereby adopted
.
FURTHER RESOLVED, that the Bylaws shall be inserted in the Company's record book.
Election of the First Board of Directors
RESOLVED, that the following persons are hereby elected as directors of the Corporation, to
serve for an indefinite term or until their successors are duly elected and qualified, and to constitute the
entire Board of Directors of the Corporation:

Resignation of Incorporator
